1. Introduction

Welcome to Automated Trading Solutions, operated by Passive Automation Solutions LLC ("Company", "we", "us", or "our"). By using our trading automation software and related services (the "Software"), you ("Client") agree to comply with and be bound by these Terms and Conditions. These Terms and Conditions, along with any documents they incorporate, constitute a legally binding agreement ("Agreement") between the Company and the Client.

2. Software Purpose

Automated Trading Solutions provides subscription-based software designed for trade automation within MetaTrader 5 (MT5). Clients independently set up brokerage accounts compatible with the Software and assume all responsibility for managing these accounts. We strictly provide software and are not engaged in financial, tax, or investment advisory services.

3. No Investment Advice

3.1 The Client acknowledges that the Company, its Software, and any related communications or materials are strictly for educational purposes and do not constitute investment advice.

3.2 The Client agrees that all investment decisions are based on their independent judgment without reliance on the Company’s Software, tools, or materials.

4. Disclaimer of Liability

4.1 Trading in financial markets carries substantial risk, and the Client acknowledges this by using our Software. The Company is not liable for any financial losses, damages, or outcomes resulting from the use of the Software.

4.2 The Client agrees to indemnify and hold the Company harmless against any claims, losses, or liabilities that may arise from the Client’s use of the Software.

5. Software Subscription and Scope

5.1 The Company grants the Client a limited, non-exclusive, and non-transferable subscription to access and use the Software solely for personal and internal business purposes.

5.2 Subscription terms, pricing, and usage limitations are defined by the Client’s selected plan and associated invoices.

6. No Refund Policy

6.1 All payments made to the Company for the Software subscription are final and non-refundable.

6.2 The Client agrees they have exercised due diligence in understanding the Software’s terms, functionality, and associated risks before purchasing the subscription.

7. Permitted Use and Restrictions

7.1 The Client agrees to use the Software in compliance with all applicable laws, regulations, and these Terms and Conditions.

7.2 Unauthorized activities include, but are not limited to, reproducing, modifying, reverse engineering, decompiling, or distributing the Software or facilitating illegal activities.

8. Termination of Service for Unauthorized Use

8.1 Unauthorized use of the Software, including sharing, copying, or altering the Software, is prohibited and constitutes a breach of this Agreement.

8.2 The Company reserves the right to terminate the Client’s access to the Software immediately without notice, refund, or liability if unauthorized use is detected. The Company’s determination of unauthorized use is final.

9. Limitation of Liability and Indemnification

9.1 The Company shall not be held liable for indirect, incidental, or consequential damages, including loss of profits, data, goodwill, or intangible losses resulting from the Client’s access or inability to access the Software.

9.2 The Client agrees to indemnify and hold the Company and its officers, directors, and agents harmless from any claims, demands, or liabilities arising from the Client’s use of the Software, breach of this Agreement, or violation of any third-party rights.

10. Independent Relationship with Brokerages

10.1 Clients are free to use any brokerage compatible with our Software. We have a partnership affiliation with PlexyTrade, an unregulated brokerage, which allows us to earn commission from trading volume. This affiliation is limited to commission arrangements, and we hold no control over PlexyTrade’s operations or services.

10.2 The Company is a fully independent entity from any brokerage, and any issues or disputes must be addressed directly with the chosen brokerage.

10.3 Clients must exercise due diligence in understanding the risks associated with unregulated brokerages, as they are not protected by U.S. regulatory laws.

11. Software Performance and Client Responsibilities

11.1 Historical back-testing results and real-time performance data are provided solely to help clients understand possible outcomes. This data is for reference only and is not a guaranteed prediction of future performance.

11.2 The Company holds no liability if the Software performs below expectations or if results differ from provided data.

11.3 Clients assume full responsibility for learning and understanding how to use the Software correctly. Misuse may impact performance, and the Company cannot be held liable for any resulting losses.

12. Optional Services and Third-Party Vendors

12.1 The Company recommends the use of a Virtual Private Server (VPS) for optimal performance and provides an affiliate link to a VPS vendor we have used. The Company holds no liability for any issues resulting from VPS usage, and any concerns must be resolved with the respective VPS provider.

13. Tax Responsibilities

13.1 The Company does not provide tax advice or support. Clients are solely responsible for managing and reporting any taxes related to their trading activities.

14. Governing Law and Jurisdiction

14.1 This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

15. Entire Agreement and Severability

15.1 These Terms and Conditions constitute the entire Agreement between the Client and the Company, superseding all prior understandings or agreements, whether written or oral.

15.2 If any provision of this Agreement is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

By using the Software, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
